Vivendi acquires Amber Capital’s shares in Lagardère; takeover offer nears

Vivendi is poised to make a public tender offer in February 2022 for all of Lagardère shares. Pictured is Lagardere Travel Retail’s Aelia Duty Free fascia at Nice Airport.

As expected, Vivendi Group today acquired 24,685,108 Lagardère shares from Amber Capital at a price of €24.10/$27.25 per share.

The French media, content and communications group now owns 63,693,239 Lagardère shares pertaining to 45.1% of the share capital.

Vivendi is expected to file a public tender offer with the French Market Authority (Autorité des marchés financiers) for all Lagardère shares at the same price per share paid to Amber Capital.

Today’s confirmation follows an announcement last week (9 December) after news of the agreements emerged in September.

The acquisition of the Amber Capital shares ends the shareholders’ pact concluded between Amber Capital and Vivendi in August last year after the shareholders previously aligned to push for greater control over Lagardère.
